These Terms of Service ("Terms") govern your access to and use of computercats.net (the "Site") and the managed IT, security, telephone/VoIP, and related services (the "Services") provided by Computer Cats LLC ("Computer Cats," "we," "us," or "our"). By accessing the Site, using the Services, or opting in to our text-messaging program, you agree to these Terms. Services delivered under a separate written master services agreement ("MSA") or statement of work are also governed by that agreement, which controls if it conflicts with these Terms.
1. Eligibility and Accounts
The Site and Services are intended for businesses and individuals who are at least 18 years old and able to form a binding contract. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of any credentials, and for all activity under your account or on your authorized users' behalf.
2. The Services
Computer Cats provides managed IT support, cybersecurity, VoIP/telephone, and related technology services, along with related communications such as email, voice, and text messaging. The specific scope, fees, and service levels for paid Services are set out in the applicable MSA, quote, or statement of work.
3. Acceptable Use
You agree not to use the Site or Services to, or to permit anyone to:
Prohibited activities
- Violate any applicable law, regulation, industry standard, or telecommunications provider requirement, including obtaining any required consent before transmitting, recording, or collecting data, and honoring all opt-out requests.
- Send unlawful, fraudulent, deceptive, harassing, threatening, defamatory, obscene, or otherwise objectionable content, or content you are not authorized to send.
- Falsify your identity or the origin of any message, or impersonate any person or entity.
- Send unsolicited or unauthorized messages (spam), or messages to recipients who have not consented or who have opted out.
No service-integrity violations
- Bypass or attempt to bypass service limitations; probe, scan, or exploit vulnerabilities; conduct denial-of-service attacks; or distribute malware, bots, or other harmful code.
- Gain or attempt to gain unauthorized access to any system, account, or data.
Your responsibility
You are responsible for your authorized users' and end users' compliance with these Terms and for determining appropriate safeguards for data you handle using the Services. We may suspend or terminate access for conduct that violates this section. To report abuse, contact info@computercats.net.
4. Text Messaging Terms (SMS & RCS)
If you opt in to our text-messaging program, the following applies. Consent: we send texts only to those who have opted in, and consent is not a condition of any purchase. Types: messages may include dispatch/appointment coordination, service and ticket updates, security and account notifications, and replies to your messages. Frequency: message frequency varies. Rates: message and data rates may apply. Carriers: mobile carriers are not liable for delayed or undelivered messages.

Our handling of information in the messaging program is described in our Privacy Policy, including our commitment that mobile opt-in and consent data are never shared with third parties for their marketing.
5. Intellectual Property
The Site and its content, and the Services (excluding your data and third-party materials), are owned by Computer Cats or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Site and Services for their intended business purpose. You retain ownership of data you provide; you grant us the rights necessary to operate and deliver the Services.
6. Third-Party Services
The Services rely on third-party providers, including our communications/messaging platform and telecommunications carriers. Your use of those components may be subject to the providers' own terms, and we are not responsible for third-party services outside our control.
7. Disclaimers
Except as expressly stated in a signed agreement, the Site and Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or Services will be uninterrupted, error-free, or secure, or that messages will always be delivered.
8. Limitation of Liability
To the maximum extent permitted by law, Computer Cats will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Site, Services, or these Terms. Our total liability for any claim relating to the Site or the free use of the Services will not exceed $500. Liability for paid Services is governed by the applicable MSA.
9. Indemnification
You agree to indemnify and hold harmless Computer Cats and its personnel from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Site or Services, your violation of these Terms, or your violation of any law or the rights of a third party.
10. Termination
We may suspend or terminate your access to the Site or Services at any time for conduct that violates these Terms or is harmful to us, our clients, or others. Termination of paid Services is governed by the applicable MSA. Provisions that by their nature should survive termination will survive.
11. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in El Paso County, except as otherwise required by law.
12. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date. Your continued use after changes take effect constitutes acceptance.
